3. Business Conduct Information
A reputation for integrity and business ethics is extremely important. Good judgment must be exercised for every decision and action. When making these decisions, it is imperative to decide on actions that align with the organization’s values. These values should serve as a basis for all choices. At all times, the law is to be obeyed and ethical actions must occur. Everyone will act with respect towards others. All members must follow Johnson & Johnson’s policies on Business Conduct.
4. Confidentiality
The Receiving Party, party in receipt of knowledge from the other, agrees to:
1. Accept and uphold the Confidential Information in confidence;
2. Study the Confidential Information at its own cost;
3. Not replicate the Confidential Information or any portion without the explicit written agreement of the Disclosing Party, the party releasing data to the other;
4. Not, directly or indirectly, publicize, reveal, distribute, or communicate the Confidential Information to any individual or corporation without the precise written agreement of Disclosing Party;
5. Limit the internal distribution of the Confidential Information and the internal release of the Confidential Information obtained from the Disclosing Party to those managers and personnel, if any, of the Receiving Party who have a need to know and an responsibility to safeguard it;
6. Not use or exploit the Confidential Information lacking the direct written permission of Disclosing Party;
7. Not use the Confidential Information or any part thereof as a foundation for the model or conception of any technique, system, machine, or mechanism similar to any technique, system, machine, or mechanism exemplified in the Confidential Information unless explicitly sanctioned in writing by Disclosing party; and
8. Apply the best attempts possible to protect and safeguard the Confidential Information from damage, burglary, destruction, or the like.
All material produced by the Disclosing Party shall stay property of the Disclosing Party. Receiving Party agrees to restore all Confidential Information to the Disclosing Party within 30 days of written request by Disclosing Party. When the Receiving Party has completed going through the information provided by the Disclosing Party and has made an evaluation as to whether or not to work with the Disclosing Party, Receiving Party shall return all data to the Disclosing Party without keeping any copies.
Listed below are the project success criteria used for this project:
- Solution completed and implemented in 4 months
- Solution must be affordable (within monetary constraints)
- Solution will provide resource collaboration using social networking
- Solution must help foster the growth of innovation within Johnson & Johnson
- High priority functionality as required by the project will be delivered in the first release
- Necessary changes that need to be made after the first release will be made within one month of request
2. Termination – Protection if the client tries to pull out of the project
Listed below are criteria for protection of termination:
- Notification of termination must be in writing
- 30 days grace period to fix necessary problems related to grievances outlined in termination letter
- 15 days to accept or reject solutions to problems
- Documentation of all processes and progress
- Key decisions have been made
- Documentation of key decisions and outcomes towards those decisions
